Terms of Use & Legal Disclaimer
Last updated: 21 September 2026
1. Agreement and Applicable Documents
This document, titled Terms of Use and Legal Disclaimer (the "Terms"), applies to the Nami website and documentation (the "Official Documentation") and to the web interfaces made available by or on behalf of Nami Labs Inc., a company incorporated in the British Virgin Islands with registration number 2218294 and registered office at Hudsun Chambers, P.O. Box 986, Road Town, Tortola, British Virgin Islands (the "Interfaces"). In these Terms, "Nami" refers to Nami Labs Inc., while the "Protocol" and the "Nami Protocol" refer to the smart contracts described in Section 2. These Terms constitute a binding agreement between the user and Nami regarding access to and use of the Official Documentation and the Interfaces.
Use of the Official Documentation constitutes acceptance of these Terms. Access to the Interfaces is also subject to the express confirmation described in Section 4. In both cases, the user represents that they have read and understood these Terms and agrees to be bound by them. Users who do not accept these Terms must not use the Official Documentation or the Interfaces. Any purchase made through the Nami Presale is governed exclusively by the Presale Terms. Third-party assets and services remain subject to the terms, eligibility requirements, and restrictions established by their respective issuers or providers.
Product pages may include summary warnings and additional disclosures, which must be read together with this page. These Terms, the Presale Terms, and any product-specific terms govern their respective subject matter. Any mandatory provisions of applicable law prevail in all cases.
Capitalised terms not otherwise defined herein shall have the same meaning as that ascribed to them in the Presale Terms.
The project's intellectual property and the terms governing use of its code are described on the Licensing page.
2. Interfaces, Protocol, and Self-Custody
The Nami Protocol consists of smart contracts deployed on public blockchains. The Interfaces provide one means of accessing the Protocol. The smart contracts may also be accessed through software developed or operated by third parties.
The user connects a self-custodial wallet and personally authorizes each transaction. Nami does not hold the user's private keys and cannot sign transactions from the user's wallet. Assets transferred to smart contracts, pools, vaults, execution accounts, or other Protocol components remain subject to the code, configuration, and any administrative roles associated with the relevant component.
Transactions confirmed on a blockchain are irreversible. Finality, settlement, and asset availability may depend on the blockchain, cross-chain infrastructure, and contracts involved.
Some components include administrative roles with powers to configure, pause, upgrade, revoke permissions, or freeze assets or addresses. The scope and limitations of these powers, together with applicable multisig arrangements, timelocks, and security procedures are described in the relevant sections: Security and Powers and Roles.
The Interfaces and Official Documentation may be modified, restricted, suspended, or discontinued at any time, including for technical, operational, legal, or security reasons.
3. Nature of Information, Advice, and Offers
Except for documents expressly identified as sale or offering terms, the Official Documentation and content available through the Interfaces are provided for informational purposes only. They do not constitute financial, investment, legal, tax, accounting, or regulatory advice, or a recommendation to purchase, sell, hold, or use any digital asset.
Any purchase made through the Nami Presale is offered exclusively under the Presale Terms and is available only to eligible persons. No other content constitutes an offer or solicitation, or invitation to purchase or acquire any asset in any jurisdiction where such activity is prohibited.
Nami does not assess whether a transaction or interaction with the Protocol is suitable for the user's personal circumstances. Each transaction is selected and authorized by the user under their sole responsibility. No fiduciary relationship arises from the use of the Official Documentation, the Interfaces, or the Protocol. Users should obtain independent professional advice before making financial, legal, or tax decisions.
4. Eligibility and Geographic Restrictions
Restricted Persons
For the purposes of these Terms, a "Restricted Person" means any natural or legal person who:
- is located, resident or domiciled in the United States of America, a Member State of the European Union, the European Economic Area or the United Kingdom;
- is incorporated, registered or organized under the laws of any of the foregoing jurisdictions;
- is a U.S. Person within the meaning of Rule 902(k) of Regulation S under the U.S. Securities Act;
- acts on behalf of or for the benefit of any of the foregoing persons;
- is subject to sanctions, freezing measures or other restrictions imposed by the British Virgin Islands, the United Kingdom, the United Nations or any other authority applicable to Nami;
- is located in a jurisdiction where access to or use of the Interfaces or of the relevant product, or the acquisition, holding or use of the relevant digital asset, is prohibited by applicable law or regulation;
- is located, resident or domiciled in, or incorporated, registered or organized under the laws of, any of the following jurisdictions or territories: Cuba; the Democratic People's Republic of Korea; the Donetsk People's Republic (DNR) region of Ukraine; the Islamic Republic of Iran; Libya; the Luhansk People's Republic (LNR) region of Ukraine; South Sudan; Sudan (North); Syria; Crimea;
- does not meet any additional requirements imposed by applicable law or requested by Nami.
This definition has the same scope as the definition of Restricted Person in the Presale Terms. With respect to participation in the Presale, the Presale Terms prevail.
Prohibited Use
Restricted Persons may not:
- participate in the Nami Presale;
- access or use the Nami Interfaces or any product made available through the Interfaces;
- purchase tokens directly from Nami or from any entity making the Interfaces available;
- use any other feature reserved for eligible persons.
Eligibility Representation
Access to the Interfaces is subject to the user's express confirmation that they have read and understood these Terms and their representation that they are not a Restricted Person. The user also represents that they are at least 18 years old (or, if the legal age of majority in the jurisdiction in which the user is located is different, such legal age of majority) and have the legal capacity required to enter into a binding agreement, have not previously been suspended or excluded from using the Interfaces, and, if acting on behalf of a legal entity, are authorized to bind that entity. By providing this confirmation, the user proceeds under their sole responsibility. A false representation constitutes a breach of these Terms, and the user assumes all resulting consequences.
The following general provision applies to all users: the Protocol and the Interfaces are not directed at any person or entity whose access or use is prohibited under applicable law. Each user is solely responsible for determining, before interacting, whether their access and use are lawful in their jurisdiction. Circumventing eligibility checks or access restrictions through false representations, intermediaries, intermediary wallets, or similar methods is prohibited.
Smart contracts deployed on public blockchains may remain technically accessible independently of the Interfaces. Technical accessibility does not constitute authorization, an offer, or confirmation of the user's legal eligibility.
Restrictions imposed by issuers, blockchains, wallets, bridges, liquidity providers, or other parties may be broader and may change over time. Each user must review the terms applicable to the relevant asset and service before interacting.
5. Protocol Tokens and Presale
NAMI, veNAMI, wveNAMI, ogNAMI, ncPOS, and sogNAMI are digital assets with different functions and rights, as defined by their respective smart contracts, applicable terms, and the Official Documentation.
Holding these tokens does not confer shares, equity interests, corporate ownership, rights to the assets of any entity, or claims against Protocol contributors. Any voting, distribution, or feature-access rights exist only to the extent provided by the relevant contracts and applicable terms.
Distributions associated with ogNAMI or sogNAMI depend on the swap fees actually generated, Protocol parameters, any required staking, and the proper operation of the relevant contracts. No amount, frequency, or future value is guaranteed beyond what is actually executed onchain under the applicable rules.
Emissions, rewards, rebases, incentives, buybacks, burns, distributions, and voting power may change over time under the rules and powers described in the Official Documentation. APR, APY, and other economic metrics are estimates based on variable conditions.
Some operations are irreversible. In particular, creating an Infinite veNAMI Lock permanently burns the underlying NAMI. Users must carefully review the lock type, duration, rights, and consequences before confirming a transaction.
Token values may fluctuate substantially, liquidity may decline, and users may lose the entire amount committed. Participation in the Nami Presale is available only to eligible persons and is governed by the Presale Terms.
6. Tokenized Stocks
The Interfaces may display pools involving tokenized representations of shares, ETFs, or other financial instruments issued by third parties. Depending on their structure and the applicable jurisdiction, these assets may constitute securities, derivatives, debt instruments, or other regulated financial products.
Nami does not issue these assets, hold the underlying securities, or determine holder rights, issuance terms, transfer restrictions, corporate actions, or redemption procedures. Trades are executed through smart contracts, and pool mechanics contribute to onchain price formation.
Tokenized stocks may use different legal and economic structures. Some may represent an interest in the underlying asset, while others provide only economic exposure to its price through a contractual arrangement or debt instrument. Holding a token does not automatically confer ownership of the underlying share, voting rights, direct dividend payments, or other shareholder rights.
The identity of the issuer, the nature of the instrument, holder rights, collateralization, custody, transferability, redemption, and treatment of corporate actions must be verified in the official documents for each asset: Tokenized Stocks.
The availability of a pool or the presence of a token in a wallet does not confirm the user's eligibility. Issuers may restrict transfers, freeze addresses, reject transactions, or make redemption and other rights unavailable to persons who do not meet their requirements.
The onchain price may diverge from the value of the underlying asset, particularly outside traditional market hours, during periods of low liquidity, or during corporate and market events. Price feeds, arbitrage mechanisms, and authorized participants may be temporarily unavailable.
Restricted Persons may not access tokenized stocks through the Nami Interfaces. Additional restrictions imposed by issuers continue to apply to all other persons.
7. General Protocol Risks
Use of the Protocol involves a high degree of risk, including the possibility of losing all funds committed. The following categories are not exhaustive.
Smart Contracts and Audits
The Protocol consists of complex software and interacts with external components. Independent audits and reviews do not guarantee the absence of bugs, exploits, implementation errors, or unknown attack vectors. See Security.
Market and Liquidity
Digital assets may experience rapid and significant price changes. Liquidity may decline or disappear, and a token's value may fall to zero. Providing liquidity, particularly through concentrated ranges, involves risks arising from divergence between assets, out-of-range positions, slippage, and variable rewards.
Irreversible Operations
Transactions sent to the wrong address, excessive approvals, lost keys, interactions with malicious contracts, and operations that are irreversible by design, including the creation of an Infinite Lock, may result in the permanent loss of assets.
Parameters, Administration, and Governance
Emissions, allocations, fees, caps, and other parameters may change through the mechanisms described in the Official Documentation. Compromise, error, or misuse of administrative roles may affect the operation of the Protocol and the assets involved.
Cross-Chain and External Dependencies
Bridges, messaging protocols, blockchains, oracles, solvers, relayers, wallets, and other services may experience delays, outages, exploits, or changes. An incident affecting an external dependency may affect the Protocol or user assets even if the Protocol contracts contain no defect.
MEV and Execution
Transactions on public blockchains may be observed, anticipated, or reordered. Front-running, sandwich attacks, and other MEV strategies may adversely affect the price or execution received by the user.
Conflicts of Interest
Entities and persons contributing to the Protocol may hold tokens, vote, manage treasuries, configure parameters, execute buybacks, or collaborate with third parties. These activities may create actual or potential conflicts of interest.
Regulatory Developments
Legislative, regulatory, or interpretative developments may affect the availability, operation, transferability, or value of the Protocol and its related assets.
No party involved in developing or operating the Interfaces assumes an obligation to identify or continuously disclose every possible risk, except as required by applicable law.
8. Forward-Looking Statements, Estimates, and Simulations
Roadmaps, dates, planned integrations, target parameters, projections, simulations, and other statements relating to future events reflect current intentions, expectations or estimates. They may change, and actual results may differ materially.
APR, APY, rewards, emissions, revenue, yield, fees, buybacks, liquidity, simulated prices, and other metrics depend on assumptions and variable conditions. Historical data and simulations do not guarantee future results.
Publishing a forward-looking statement does not constitute a commitment to deliver a feature by a specified date or create an obligation to provide continuous updates.
9. Availability, Warranties, and Onchain Execution
The Official Documentation and the Interfaces are provided on an "as is" and "as available" basis to the fullest extent permitted by applicable law. Their accuracy, completeness, timeliness, continuous availability, compatibility, and freedom from error are not guaranteed.
Published information may not immediately reflect the latest Protocol configuration. Users must verify official addresses, transactions, parameters, and contract status before acting.
Smart contract code determines the technical execution of onchain transactions. Legal rights and obligations remain governed by these Terms, the Presale Terms, any applicable product-specific terms and disclosures, and mandatory provisions of applicable law.
Interfaces, integrations, and features may be restricted, modified, or disabled, in whole or in part, without notice where permitted by law.
The Interfaces do not require users to create accounts, and Nami does not collect users' personal data through the Official Documentation or the Interfaces. Any technical data processed by third-party hosting, connectivity, or infrastructure providers remains subject to the terms and notices of the relevant providers.
10. Limitation of Liability and Indemnification
To the fullest extent permitted by applicable law, the entities making the Interfaces available, Protocol contributors, and their respective contractors, service providers, and licensors are not liable for financial losses, loss of profits, data, or opportunities, or for any indirect, special, consequential, exemplary, or punitive damages arising from the use of the Protocol, the Interfaces, or the Official Documentation.
To the fullest extent permitted by applicable law, the total aggregate liability of the parties identified in this Section for any claim arising from these Terms or from use of the Official Documentation or the Interfaces will not exceed the aggregate amount of fees, if any, actually paid by the relevant user to Nami or any of its affiliates in connection with the Official Documentation or the Interfaces in the twelve (12) months preceding the event giving rise to the claim, except for liabilities that cannot be excluded or limited by law.
Use of the Official Documentation, the Interfaces, or the Protocol does not create a fiduciary, advisory, agency, partnership, or joint venture relationship between the user and the contributors, except as expressly provided in an applicable written agreement.
To the fullest extent permitted by applicable law, the user agrees to indemnify and hold harmless the entity making the Interfaces available, Protocol contributors, and their respective affiliates, contractors, service providers, licensors, directors, employees, agents, successors, and assigns from and against claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising from the user's breach of these Terms or use of the Interfaces.
11. Governing Law and Arbitration
These Terms and any dispute arising from or relating to them, whether in contract or tort, are governed by the laws of the British Virgin Islands, without regard to its conflict of laws rules.
Any dispute, controversy or claim arising from these Terms or from access to or use of the Official Documentation or the Interfaces, including any matter relating to their interpretation, validity, breach, non-performance, or termination, will be finally resolved by binding arbitration administered by the Cayman International Mediation and Arbitration Centre Ltd. (CI-MAC) in accordance with the CI-MAC Arbitration Rules in force at the time of the commencement of the arbitration. The seat of arbitration will be the Cayman Islands, the language of the proceedings will be English, and the number of arbitrators will be one. The arbitral tribunal will also decide any question concerning its own jurisdiction and the validity or enforceability of the arbitration agreement.
Arbitration will be conducted exclusively on an individual basis. Class arbitration, representative actions, and the consolidation of claims by multiple persons in a single proceeding are not permitted.
12. Taxation, Prohibited Activities, and Sanctions
The user is responsible for determining, reporting, and paying all taxes applicable to their transactions and assets. Nami does not determine the individual tax treatment of any transaction.
The Interfaces may not be used for fraud, money laundering, illicit financing, market manipulation, including practices commonly known as pump and dump and wash trading, sanctions violations, cyberattacks, circumvention of restrictions, infringement of third-party rights, or any other activity contrary to applicable law.
Nami may restrict or suspend access to the Interfaces to enforce the applicable terms, comply with sanctions, or respond to legally binding requests.
13. Third Parties, Intellectual Property, and Trademarks
Except for Protocol code and third-party materials governed by their respective licenses, the content, functionality, design, text, images, logos, and other elements of the Official Documentation and the Interfaces belong to Nami or their respective licensors. Users are granted a limited, revocable, non-exclusive license to access and use the Official Documentation and the Interfaces in accordance with these Terms. No other intellectual property rights are transferred to the user.
Accessing the Official Documentation or the Interfaces through unauthorized or harmful scraping, bots, or other automated tools, interfering with their operation, circumventing technical measures or access restrictions, and reusing content beyond the scope of the license granted are prohibited.
The Official Documentation and the Interfaces may refer to or integrate products, services, assets, and trademarks belonging to third parties, including Coinbase, Robinhood, Algebra, and Chainlink.
Reference to a third party does not by itself imply a partnership, sponsorship, approval, or endorsement. Any actual relationship exists only to the extent expressly stated in official communications or applicable agreements.
Wallets, blockchains, bridges, aggregators, issuers, protocols, and other external services operate under their respective terms and remain subject to their own risks, controls, and limitations. Nami does not control their continued operation or their operational and regulatory decisions. The Licensing page governs the project's intellectual property and code licenses.
14. Amendments, Final Provisions, and Contact
These Terms may be updated to reflect changes to the Protocol, products, Interfaces, or regulatory framework. The date displayed at the beginning identifies the most recent version. Use of the Official Documentation or the Interfaces after an updated version is published constitutes acceptance of the changes. Users must review this page and any applicable terms periodically before using the Interfaces.
Where any such amendments would, in the reasonable opinion of Nami, result in material changes to the rights of users, Nami shall use reasonable endeavours to maintain the rights of users to the extent permissible under applicable law.
These Terms may be published in multiple languages. If the versions differ, the English version prevails.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in full force and effect, and the invalid provision will be replaced by a valid provision that reflects its original purpose as closely as possible.
These Terms, together with the Presale Terms and any referenced product-specific terms, constitute the entire agreement between the user and Nami concerning their subject matter and supersede all prior understandings or communications.
The user may not assign any rights or obligations under these Terms without Nami's prior written consent. Nami may assign these Terms, in whole or in part, in connection with a reorganization, transfer of business, or similar transaction.
Failure to enforce any provision of these Terms does not constitute a waiver of the right to enforce it later.
Provisions that by their nature are intended to survive the end of use, including those relating to limitation of liability, indemnification, governing law, and arbitration, remain effective after such use ends.

5. Eligibility and Geographic Restrictions
General Requirements
The participant must:
- be at least 18 years old (or, if the legal age of majority in the jurisdiction in which the participant is located is different, such legal age of majority) and have full legal capacity to enter into and perform the agreement set out in these Presale Terms;
- act on their own behalf or be duly authorized to represent the specified entity;
- control the wallet used to participate;
- be legally permitted to acquire, hold and use ogNAMI in their jurisdiction;
- use funds from lawful sources;
- be able to bear the total loss of the Contribution without economic consequences incompatible with their circumstances.
Restricted Persons
A "Restricted Person" means any natural or legal person who:
- is located, resident or domiciled in the United States of America, a Member State of the European Union, the European Economic Area or the United Kingdom;
- is incorporated, registered or organized under the laws of any of the foregoing jurisdictions;
- is a U.S. Person within the meaning of Rule 902(k) of Regulation S under the U.S. Securities Act;
- acts on behalf or for the benefit of any of the foregoing persons;
- is subject to sanctions, freezing measures or other restrictions imposed by the British Virgin Islands, the United Kingdom, the United Nations or any other authority applicable to the Offeror;
- is located in a jurisdiction where the offer, acquisition, holding or use of ogNAMI is prohibited by applicable law or regulation;
- is located, resident or domiciled in, or incorporated, registered or organized under the laws of, any of the following jurisdictions: Cuba; Democratic People's Republic of North Korea; Donetsk People's Republic (DNR) region of Ukraine; Islamic Republic of Iran; Libya; Luhansk People's Republic (LNR) region of Ukraine; South Sudan; Sudan (North); Syria; Crimea;
- does not meet any additional requirements imposed by applicable law or requested by the Offeror.
Restricted Persons may not participate in the Presale.
Eligibility Representation
By accepting these terms, the participant represents that they are not a Restricted Person and are not using nominees, intermediary wallets or false information to circumvent applicable limitations.
The Offeror may request additional information or documents where necessary to verify eligibility, wallet ownership, source of funds, sanctions compliance or other legal obligations. Refusal or inability to provide the requested information may result in rejection of participation, suspension of distribution or treatment of the Contribution in accordance with applicable law.
The participant acknowledges and agrees that the Offeror may use technological solutions to monitor and ensure compliance with the requirements of this Section 5.
6. Presale Parameters
The Presale ends when the hard cap is reached. The Offeror may close it early, suspend it or extend it in accordance with Section 15.
7. Participation Procedure
To participate, the user must:
- access the official Presale interface;
- connect a compatible wallet on the Base network;
- read and accept these terms and the eligibility representation;
- authorize, where necessary, the Presale contract to use USDC;
- specify the desired Contribution within the applicable limits;
- verify the amount, network and contract addresses;
- personally sign and submit the transaction.
Participation is recorded only when the transaction is confirmed and accepted by the Presale contract.
The participant bears the gas fees and other costs of the Base network. Such costs do not form part of the Contribution, do not generate ogNAMI and are not reimbursed by the Offeror.
USDC sent to incorrect addresses, on different networks or through unsupported procedures may be permanently lost. The Offeror has no obligation to recover, and cannot guarantee the recovery of, incorrectly sent assets.
8. Limits, Allocation and Closing
Each wallet may contribute up to 100,000 USDC. Using multiple wallets controlled by the same person to circumvent the applicable limit is prohibited.
Allocations are determined by the Presale contract based on validly accepted Contributions. The indicative quantity is calculated at a rate of 1 ogNAMI for every 10 USDC, taking into account the decimals and rules implemented in the contract.
Availability is limited. Opening the interface, submitting an approval or transmitting a transaction does not guarantee acceptance of the Contribution. A transaction may fail or be rejected if the per-wallet limit, hard cap or other conditions have already been reached.
The Offeror is not responsible for differences in ordering, inclusion or execution resulting from congestion, gas fees, validators, builders, MEV or other characteristics of the Base network.
9. Payment and Acceptance of the Contribution
The Presale accepts only USDC through the official contract specified in Section 6. Payments in fiat currency, other tokens, USDC on other networks or direct transfers to unspecified wallets do not constitute a valid Contribution.
Any bridge, swap or conversion transactions carried out beforehand, including through third-party interfaces or services, fall outside these terms and remain at the participant's risk. For the purposes of the Presale, only USDC received by the Presale contract on Base is relevant.
A Contribution is deemed accepted when the Presale contract definitively records the amount and corresponding allocation, subject to any subsequent action required by law, applicable sanctions or the security procedures set out in these terms.
The participant remains solely responsible for the security of their wallet, private keys, authorizations and the device used.
10. No General Right to a Refund
After the Contribution has been accepted and the corresponding allocation recorded, the purchase is final and cannot be cancelled or refunded, except as required by applicable law or expressly provided by the Presale contract.
The Offeror may reject or return a Contribution where it reasonably believes that:
- the transaction violates these terms;
- the funds or wallet are connected to unlawful activities or sanctioned persons;
- acceptance may violate the law or a binding order;
- a vulnerability, error or security incident compromises the Presale.
Where a return is permitted and technically possible, it will be made to the originating wallet or as required by law. Gas fees incurred by the participant and fluctuations in the value of USDC remain the participant's responsibility.
If a wallet is frozen, sanctioned or technically unable to receive the return, the amounts will be handled in accordance with applicable law. This may include the loss, cancellation or suspension of the participant's Contribution, ogNAMI and any staking or other rewards, without any recourse to, or any compensation available from, the Offeror.
Each participant acknowledges and agrees to the foregoing provisions of this Section 10.
11. Release, Auto-Staking and Early Buyer Bonus
ogNAMI purchased during the Presale is deposited into an individual vesting vault, which is fully controlled by the participant, and automatically staked. Staking rewards accrue for the benefit of the participant from Epoch 0 of the protocol, in accordance with the relevant smart contracts, even while the principal remains locked.
The principal follows this schedule, with Epochs counted according to the protocol configuration:
- a cliff corresponding to the Genesis phase (21 days), during which the principal cannot be withdrawn;
- linear unlocking of the principal from Epoch 3 through Epoch 15.
The Early Buyer Bonus grants up to an additional 10% of the purchased amount and accrues linearly from Epoch 11 through Epoch 17. The first withdrawal after the cliff settles the bonus in a single transaction: a withdrawal before Epoch 11 results in the complete forfeiture of the bonus, while a withdrawal between Epoch 11 and Epoch 17 results in the forfeiture of the portion that has not yet accrued. Any forfeited bonus is burned. If the public allocation is not sold in full, the maximum bonus amount may be reduced proportionally.
ogNAMI purchased on the secondary market is not subject to this schedule.
The start date, quantities progressively available, claim procedure and position status are determined by the smart contracts and displayed through the official interfaces. The Offeror will publish the final contract addresses before claims are activated.
The participant must use the same wallet used for the Presale or follow any onchain procedure expressly provided. Loss of keys, wallet compromise, incompatible transfers or interactions with unofficial contracts may render the assets irrecoverable.
The release schedule may be delayed due to technical incidents, audits, vulnerabilities, congestion, network events, legal requirements or other circumstances described in Section 15. A delay does not automatically give rise to a right to a refund.
12. Nature and Functions of ogNAMI
ogNAMI is a digital asset of the Nami protocol with an intended maximum supply of 250,000 tokens. The Presale concerns the public allocation of 200,000 ogNAMI.
Under the intended protocol configuration:
- ogNAMI may be staked to obtain sogNAMI;
- eligible stakers may receive, through the relevant smart contracts, 10% of the Nami swap fees actually distributed;
- 5% of the protocol's net revenue allocated to the Recursive Buyback Engine is used each Epoch to purchase and burn ogNAMI, in accordance with the applicable parameters and operating conditions, as these may be published from time to time.
Distributions depend on the fees actually generated, staking, the operation of the smart contracts and the protocol parameters. They may be zero, and no future amount is guaranteed.
The buyback and burn mechanism does not grant the participant a right to receive payments, sell their tokens to the protocol or require purchases to be executed for any specified amount.
ogNAMI and sogNAMI do not confer shares, equity interests, voting rights in the Offeror, rights of corporate participation in the Offeror, rights to the Offeror's assets, rights to direct the use of proceeds or claims against Nami contributors. The rights associated with the tokens are limited to those implemented by the relevant smart contracts and described in these Presale Terms, the Terms of Use and Legal Disclaimer and the Official Documentation.
The legal classification of ogNAMI may vary between jurisdictions. Each participant must obtain independent advice regarding the classification and consequences applicable to their circumstances.
13. Referral Program
A participant may use a valid referral code in accordance with the rules displayed in the Official Documentation.
For each eligible Contribution correctly attributed to a referrer, the program provides a reward equal to 10% of the referred Contribution. The reward is paid in USDC in accordance with the procedures and timing implemented by the contract or published before the Presale opens.
The referral reward does not reduce the amount of ogNAMI allocated to the referred participant.
The following are prohibited:
- self-referral;
- coordinated use of wallets controlled by the same person;
- false identities or information;
- spam, impersonation, misleading communications or unlawful practices;
- promotion of the Presale to Restricted Persons;
- any activity intended to manipulate the attribution of rewards.
The Offeror may reject, suspend or cancel rewards connected to violations of these terms, technical errors, refunded Contributions or suspicious activity. No referral reward accrues on failed, rejected, cancelled or returned transactions.
Referrers are responsible for their own communications and may not present themselves as employees, agents, intermediaries or authorized representatives of Nami or the Offeror.
14. Proceeds
The proceeds of the Presale belong to the Offeror and are not held in escrow for the benefit of participants. The Offeror uses them at its discretion, in good faith, to support the launch and operation of the protocol.
The purchase of ogNAMI does not grant voting, approval, individual reporting or control rights over the use of proceeds.
15. Suspension, Modification and Cancellation
The Offeror may suspend, extend, close early or cancel the Presale where reasonably necessary to:
- correct a material error;
- respond to a vulnerability or security incident;
- complete audits, checks or technical work;
- address congestion, forks, interruptions or anomalies affecting the Base network;
- comply with a law, sanction, order or binding request;
- protect the protocol, participants or the integrity of the Presale;
- address events beyond the Offeror's reasonable control.
Changes to the parameters will be published through the official channels and apply only to subsequent Contributions, except where required by law or necessary to address an incident that also affects previous transactions.
In the event of cancellation, Contributions already accepted will be handled in accordance with the Presale contract, the official cancellation notice and applicable law. The Offeror may require verification before making a return.
16. Participant Representations
With each Contribution, the participant represents and warrants that:
- all information and statements provided are complete and truthful;
- they meet the requirements of Section 5;
- they act on their own behalf or have a valid authorization;
- they control the wallet used and the related funds;
- the Contribution derives from lawful activities;
- they do not use mixers, tumblers or other tools to conceal the source, ownership or destination of funds in connection with the Presale;
- they understand the essential operation of wallets, USDC, Base, gas fees and smart contracts;
- they have conducted the checks they consider necessary and can bear the total loss of the Contribution;
- they do not rely on promises, warranties or statements other than those contained in these terms and the Official Documents;
- they do not participate for unlawful purposes or on behalf of a Restricted Person;
- they will comply with applicable tax and regulatory obligations.
The representations are deemed repeated at the time of each Contribution and until distribution is complete. The participant must promptly notify [email protected] of any change that makes them inaccurate.
17. Compliance Checks
The Offeror may conduct or request checks relating to sanctions, source of funds, wallet ownership and/or control, anti-money laundering, counter-terrorist financing and proliferation financing, to the extent required or permitted by applicable law.
The participant agrees to promptly provide information and documents requested by the Offeror in connection with the foregoing. Failure to comply with any such request may result in the suspension or cancellation of ogNAMI or any staking or other rewards, without recourse to, or compensation otherwise payable by, the Offeror.
The Offeror may reject participation, suspend a claim, block access to the interfaces or take other measures required by law. Where an asset or wallet is subject to freezing, seizure or another binding restriction, the Offeror acts in accordance with the instructions of the competent authority.
18. Risks
Participation in the Presale and ownership of ogNAMI involve a high degree of risk. The participant acknowledges at least the following risks.
Economic Loss
ogNAMI may lose some or all of its value. The Presale does not guarantee a secondary market, any minimum level of liquidity or the ability to sell the token.
Launch and Development
Genesis, TGE, token release, integrations and features may be delayed, modified or cancelled. Development of the protocol may not produce the expected results.
Fees, Distributions and Buybacks
Swap fees may be reduced or zero. Distributions, buybacks and burns depend on protocol activity, contract configuration and variable operating conditions.
Smart Contracts and Security
Bugs, exploits, configuration errors, compromised keys, integration issues or attacks may result in loss, lock-up or failure to distribute assets. Audits and reviews do not eliminate these risks.
Base and USDC
Congestion, forks, increased gas fees, interruptions, censorship, depegging, freezing or issues affecting the USDC issuer may affect participation and the economic value of the Contribution.
Wallets and Irreversible Transactions
Loss of keys, phishing, malware, malicious approvals, incorrect addresses and interactions with unofficial contracts may result in irreversible losses.
Liquidity and Market
Price, volume, slippage and the availability of counterparties depend on the market. Initial liquidity or price discovery mechanisms do not guarantee any future price.
Administration and External Dependencies
Administrative roles, multisigs, providers, bridges, oracles, stablecoins and other components may be affected by errors, attacks, interruptions or changes.
Regulation
The classification and treatment of tokens may change. Authorities or third parties may restrict the offering, transfer, use, listing of or access to ogNAMI. Any such change may result in the Offeror invoking its rights under these terms, including without limitation those set out in Section 15.
Taxation
Acquisition, release, staking, distributions, transfers and sales may give rise to taxes or reporting obligations.
This list is not exhaustive. Additional risks are described in the Terms of Use and Legal Disclaimer and the Official Documentation.
19. No Advice or Reliance
The Offeror does not provide, and has not provided to any participant or other person, any financial, legal, tax or investment advice and does not assess the suitability of the Presale for the participant's circumstances.
Roadmaps, dates, estimates, simulations, APR, APY, revenue, fees, yield, prices and other forward-looking information reflect current expectations. They may change and do not constitute guarantees.
Social media communications, community messages, statements by contributors, third-party content and information not included in the Official Documents do not modify these terms.
20. No Warranties
To the extent permitted by applicable law, the Presale, smart contracts, interfaces, ogNAMI and sogNAMI are provided as is and as available.
The Offeror does not warrant, represent or guarantee:
- uninterrupted or error-free operation;
- achievement of the hard cap;
- completion of the launch by a specified date;
- the value, liquidity, listing or transferability of ogNAMI;
- any amount of fees, distributions, rewards or buybacks;
- compatibility with wallets, protocols or third-party services;
- the absence of regulatory or tax changes.
21. Limitation of Liability
To the maximum extent permitted by applicable law, the Offeror, its affiliates, protocol contributors and their respective directors, collaborators, suppliers and licensors are not liable for indirect, special, consequential, exemplary or punitive damages, or for any loss of profits, data, opportunities or value arising from the Presale, smart contracts, interfaces or ogNAMI.
The Offeror's aggregate liability to all persons in connection with the Presale may not exceed the aggregate amount of all Contributions validly accepted from all participants, except for liabilities that cannot be excluded or limited by law.
The Offeror's aggregate liability to a participant in connection with the Presale may not exceed the amount of the Contribution validly accepted from that participant, except for liabilities that cannot be excluded or limited by law.
For claims specifically arising from the Presale or a Contribution, the limit set out in this Section prevails over any different general limit contained in the Terms of Use and Legal Disclaimer.
Nothing limits liability for fraud, wilful misconduct or any other liability that cannot be limited under applicable law.
22. Indemnification
To the extent permitted by law, the participant agrees to indemnify and hold harmless the Offeror, its affiliates and their respective directors, collaborators and suppliers from and against reasonable claims, losses, costs and expenses arising from:
- breach of these terms;
- false statements made by the participant;
- participation on behalf of a Restricted Person;
- the unlawful origin of funds;
- violation of laws, sanctions or third-party rights;
- unlawful activities carried out through the participant's wallet.
23. Public Blockchain
Presale transactions are recorded on Base and are publicly accessible. Wallet addresses, amounts, timestamps and transaction data may be analyzed and associated with other available information.
24. Intellectual Property
Trademarks, interfaces, content and Presale materials remain the property of their respective owners. Acceptance of these terms does not grant any license or rights other than those strictly necessary to use the interface in accordance with the applicable conditions.
Use of the protocol's source code is governed by the relevant Licenses.
25. Communications
General communications relating to the Presale may be published on the Official Documentation and through the official channels listed on the Official Links page.
Individual communications may be displayed in the interface or sent using contact details voluntarily provided by the participant to the Offeror.
The participant must verify the authenticity of domains, accounts and contract addresses. The Offeror will never request private keys or seed phrases.
26. Force Majeure
The Offeror is not liable for delays or failures caused by events beyond its reasonable control, including forks, congestion or blockchain stoppages, exploits, cyberattacks, infrastructure unavailability, actions by authorities, war, civil unrest, sanctions, natural disasters, or power or telecommunications outages.
The Offeror will take reasonably available measures to manage the event and communicate any material effects on the Presale.
27. Amendments
The Offeror may amend these terms before, during or after the Presale to correct errors, reflect technical changes or comply with applicable law. The updated version will be published with a new update date.
Where any such amendments would, in the reasonable opinion of the Offeror, result in material changes to the rights of participants, the Offeror shall use reasonable endeavours to maintain the rights of participants to the extent permissible under applicable law.
28. Assignment
The participant may not assign any rights or obligations arising from these terms without the Offeror's written consent.
The Offeror may assign or transfer these terms to an affiliate, or to a successor in connection with a reorganization, merger, acquisition or transfer of the project, provided in each case that the transfer does not substantially reduce the participant's accrued rights.
29. General Provisions
These Presale Terms, the Terms of Use and Legal Disclaimer and the documents expressly incorporated by reference constitute the entire agreement relating to the Presale. In the event of a conflict, the order of precedence set out in Section 3 applies.
If any provision is invalid or unenforceable, the remaining provisions are unaffected. The relevant provision will be enforced to the maximum extent permitted or replaced with a valid provision that reflects its function as closely as possible.
Failure to exercise a right does not constitute a waiver. Headings are for organizational purposes only.
Nothing creates a partnership, joint venture, agency, employment, advisory or fiduciary relationship between the participant and the Offeror.
30. Governing Law and Arbitration
These Presale Terms and any contractual or non-contractual dispute arising from or relating to them are governed by the laws of the British Virgin Islands, without regard to its conflict of laws rules.
Any dispute, controversy or claim arising from these Presale Terms, the Presale or a Contribution, including any dispute concerning their interpretation, validity, breach, non-performance or termination, will be finally resolved by binding arbitration administered by the Cayman International Mediation and Arbitration Centre Ltd. (CI-MAC) in accordance with the CI-MAC Arbitration Rules in force at the time of the commencement of the arbitration. The seat of arbitration is the Cayman Islands, the language of the proceedings is English and the number of arbitrators is one. The arbitral tribunal also has the authority to rule on its own jurisdiction and on the validity or enforceability of the arbitration clause.
Arbitration will be conducted solely on an individual basis. Class arbitration, representative actions and the consolidation of claims by multiple persons in the same proceeding are not permitted.
31. Language
The published English version of these terms is the applicable version. Any translations are provided for convenience only. In the event of any interpretive discrepancy, the English version prevails.

Nami Odyssey Terms & Conditions
Nami Odyssey Terms and Conditions
1. Acceptance and scope
By using Nami Odyssey, you accept these Terms and Conditions and confirm that you have read and understood them. You also confirm that you are at least 18 years old, control the wallet used to participate and meet the participation requirements, including the territorial restrictions set out below.
Nami Odyssey is a program through which participants can complete activities, earn experience points (XP) and qualify for the rewards available in each campaign, referred to as a Wave.
In these Terms, "Nami" or "the team" means Nami Labs Inc., the company that makes the Nami interfaces available under the Terms of Use and Legal Disclaimer, acting through the team operating Odyssey.
These Terms govern access to and participation in Odyssey. They apply alongside the rules of the activities and Waves you participate in and alongside the Terms of Use and Legal Disclaimer, which govern the use of the Nami interfaces and documentation, protocol risks, limitation of liability, governing law and arbitration. In the event of a conflict, these Terms prevail solely with respect to participation in Odyssey, XP, referrals and rewards.
2. Activity and Wave rules
Each Wave may have different activities, requirements, selection criteria and rewards. Information published in the Odyssey interface and in official communications relating to the Wave supplements these Terms.
Each activity card specifies the required actions, available XP, any prerequisites and the verification methods. You are responsible for reviewing this information before completing an activity or authorizing a transaction.
The rules of each Wave govern its specific parameters; these Terms apply to all other matters. Mandatory provisions of law take precedence. Informal community messages and statements by other participants do not amend the official rules.
The use of Nami products and third-party services may be subject to additional terms and restrictions. Access to Odyssey does not automatically establish eligibility to use every product involved in the activities.
3. Eligibility and territorial restrictions
To participate, you must be at least 18 years old, have reached the age of majority in your jurisdiction and have the legal capacity to accept these Terms. You must control your wallet and linked accounts, provide truthful information and be legally permitted to complete the activities and receive rewards.
Restricted Persons, as defined in Section 4 of the Terms of Use and Legal Disclaimer, may not participate in Odyssey or receive rewards. This includes persons located, resident or domiciled in the United States of America, a Member State of the European Union, the European Economic Area or the United Kingdom, entities organized under the laws of those jurisdictions, U.S. Persons under Rule 902(k) of Regulation S, anyone acting on behalf of or for the benefit of such persons, and persons subject to sanctions or restrictions applicable to Nami. Participation is also not permitted from any jurisdiction where participation or the allocation, receipt, holding or use of rewards is prohibited.
Participation is permitted in other countries, provided that the additional requirements under these Terms and applicable law are met.
Circumventing these restrictions through VPNs, proxies, third-party identities or other technical means is prohibited. The availability of the interface does not establish eligibility to participate. Nami may request information or documents proportionate to the necessary checks and suspend access or reward distribution until those checks are completed.
4. Profile, wallet and onboarding
Each participant may use only 1 Odyssey profile with 1 associated wallet. Linked social accounts must be authentic and under their control. Using additional wallets or accounts to obtain multiple entries, XP or rewards breaches these Terms.
Onboarding requires completion of the steps displayed in the app, which may include entering an invite code, connecting a wallet and social accounts, verifying a balance and completing a CAPTCHA check.
To unlock subsequent activities, you must invite at least 1 friend who uses your code, completes onboarding and obtains their own referral code. Individual activities may have further prerequisites or require completion of earlier activities.
Any balance requirements are checked when XP is claimed. An insufficient balance prevents the affected claims until the requirement is met again; it does not, by itself, cancel XP already earned validly. Any balance-holding requirements expressly stated for an activity continue to apply.
5. Waves and progress resets
Odyssey runs through successive Waves. The team determines, at its discretion, when to open, modify, suspend, extend or close each Wave and may take action at any time, including discontinuing the program.
Decisions concerning the management of Waves are communicated in the app or through official channels. The features of a Wave do not create an obligation to maintain the same conditions in later Waves or to organize further campaigns.
At the start of a new Wave, XP, activity progress, leaderboard rankings and referral associations reset. Participants must complete the onboarding and activation steps required for that Wave again.
A reset or the closure of a Wave does not cancel rewards whose allocation has already been finalized, except for corrections arising from fraud, eligibility breaches, material errors or legal requirements.
6. Activities, XP and verification
XP measures participation within a Wave. It is personal, non-transferable and has no standalone monetary value. It cannot be sold or converted into rewards at a fixed rate. Any entitlement to a reward depends on the Wave's allocation rules.
An activity qualifies for XP when its published requirements have been met and verification has been completed successfully. Single-completion activities may be completed 1 time; repeatable activities follow the frequency and limits stated in the app.
Verification may use onchain transactions, information from linked accounts, evidence submitted by participants, automated checks and manual review. Creative or community activities may require team approval under the criteria described in the activity card.
If an activity requires content to remain published, a profile change to remain in place or an account connection to be maintained for a specified period, that condition must be stated in the description. Removing it early may result in the loss of the associated XP.
Nami may correct XP awarded in error, duplicated or obtained through invalid activities, and update the leaderboard accordingly. Technical delays in recording activity may be reviewed using the available evidence; a delay alone does not invalidate an activity that was completed correctly.
7. Referrals
A referral association takes effect when the invitee uses the code, completes onboarding and obtains their own code. The association remains valid for the current Wave, subject to corrections for technical errors or fraud, and resets with the next Wave.
The referrer receives an additional bonus equal to 10% of the valid XP earned by direct invitees through eligible activities. Onboarding XP and referral bonuses earned by invitees are excluded. Invitees retain 100% of their XP.
The bonus applies to 1 referral level only. XP earned by people invited by your own invitees does not generate an additional bonus for you.
If an activity's XP is reversed or corrected, the associated referral bonus is adjusted accordingly. A correction relating to an invitee does not, by itself, establish a breach by the referrer.
Self-referrals, fabricated invitees, purchased accounts and profiles operated by the same person to simulate separate participants are prohibited.
8. Prohibited conduct and enforcement
Participation must be authentic and comply with the activity rules. The following are prohibited:
- Multiple accounts, account farms, fabricated identities and Sybil schemes intended to multiply entries.
- Bots, scripts or unauthorized automation used to simulate activity, bypass verification or obtain improper advantages.
- Purchasing or fabricating social engagement, altered evidence, false statements and impersonation.
- Artificial transactions or the circulation of assets between controlled wallets to simulate qualifying activity, inflate volumes or circumvent limits.
- Exploiting technical errors to obtain XP or rewards, interfering with the program or attempting to compromise its security.
- Plagiarism, infringement of third-party rights, harassment, unlawful content and spam.
- Content generated entirely by AI, without a meaningful personal contribution, submitted as an original contribution in creative or community activities.
Nami may review activities and connections between accounts and wallets. A shared IP address or funding source may be considered alongside other available evidence and does not, by itself, constitute conclusive proof of abuse.
Where a breach occurs, Nami may reject evidence, cancel XP, correct rankings, suspend profiles, deny or revoke rewards and exclude participants, including permanently. Measures take into account the seriousness of the conduct and whether it has been repeated.
9. Content and promotional communications
You retain ownership of the original content you submit and warrant that you have the necessary rights to any third-party materials used.
By submitting content for an activity, you grant Nami a non-exclusive, royalty-free, worldwide license to evaluate, reproduce, publish and share it for the administration and communication of Odyssey and through Nami's official channels. The license includes formatting changes and translations that preserve the meaning of the contribution.
Appointed service providers may use the content for these purposes on Nami's behalf. Existing publications and campaign archives may remain available after the Wave, subject to the author's non-waivable rights. Uses outside these purposes require a separate agreement.
When publishing promotional content or referral links, you must provide accurate information and clearly disclose any XP or reward incentive in accordance with applicable rules and those of the platform used. Presenting yourself as a Nami representative without authorization or promising guaranteed returns is prohibited.
10. Leaderboards and reward allocation
The leaderboard score is the sum of valid activity XP and referral bonuses for the Wave. Ties are resolved in favor of the participant who first reached that score according to the program's verified records.
Scores, rankings and reward estimates remain provisional until verification is complete. Nami may correct calculation errors, remove invalid entries and recalculate allocations before final confirmation.
Rewards may be allocated through the leaderboard, a Community Pool, any random draws or jury awards, according to the arrangements communicated for the Wave. Each category follows its own requirements and allocation criteria; whether rewards may be combined is specified in the relevant rules.
Any random draws follow the published eligibility conditions and selection method. Jury awards depend on the assessment of contributions against the communicated criteria and may be awarded in part or not awarded.
Participation, completion of activities or a particular XP balance does not guarantee a reward. Unallocated amounts may be carried forward to the next Wave under the communicated rules and in compliance with the law.
11. Distribution and claims
The network, distribution methods and any actions required to receive rewards are communicated in the app or through official channels. Distribution may take place directly to the associated wallet or through a claim procedure.
Where a claim is required, you must follow the official instructions and comply with any stated deadline. The consequences of failing to claim must be communicated together with the applicable conditions. A material interruption to a claim service operated by Nami may require an adjustment to the deadline for affected participants.
Before distribution, Nami may require checks necessary to confirm eligibility, prevent abuse or comply with legal obligations. Failure to cooperate may prevent allocation where the required conditions cannot be verified.
You are responsible for checking the receiving wallet, network and transaction details before signing. Nami does not request your seed phrase or private key. Lost credentials or incorrect addresses may make recovery of a reward impossible.
Any network costs and tax obligations attributable to you remain your responsibility unless stated otherwise. Nami complies with any reporting or withholding obligations imposed on it by law.
12. Nature of rewards and Infinite veNAMI
Odyssey rewards are distributed in Infinite veNAMI, subject to the functionality and conditions of the relevant smart contracts.
An Infinite veNAMI position is permanent: the underlying NAMI is burned when the position is created and cannot be withdrawn, and the position has no expiry. Receiving Infinite veNAMI does not give you a right to have Nami redeem the reward for liquid NAMI, cash or other assets.
The position's features, including governance rights and any access to protocol rewards, depend on the protocol rules and the relevant contracts. Future value and financial outcomes are not guaranteed.
Any USD equivalents displayed in the app or in communications are indicative. A reference price for NAMI does not establish that a veNAMI position can be sold at that value or that a liquid market for it exists.
13. Privacy
Nami processes wallet addresses, linked social accounts, submitted content and participation data to operate Odyssey, verify activities, prevent abuse and distribute rewards. Data may be processed by service providers needed to operate the service and retained for as long as necessary for these purposes and legal obligations; profiles, scores and rewards may appear on public leaderboards, and information recorded on a blockchain remains public.
14. External services, costs and risks
Odyssey may use wallets, social networks, blockchain infrastructure and third-party verification services, each subject to its own terms. Interruptions or changes to these services may affect activity availability, verification and reward distribution.
Some activities may require token holdings, swaps or other onchain operations that involve costs and risks. The relevant conditions are stated in the app. Expenses voluntarily incurred for an activity do not ensure that XP or a reward will be obtained.
Digital asset operations involve exposure to volatility, limited liquidity, smart contract errors, wallet compromise and potential losses. A transaction may be irreversible even if the activity fails verification. You must independently assess these risks before authorizing an operation; activity descriptions do not constitute personalized financial advice.
The use of an external platform for an activity does not imply that the platform sponsors or endorses Odyssey unless expressly stated.
15. Corrections and requests for review
You may report errors in XP, rankings or reward allocations and request a review of an enforcement decision through the official support channels listed in the app. Your request must identify the profile and activity concerned and include the available evidence.
Nami reviews the relevant information and communicates the outcome to the extent permitted by law and security requirements. Details that would expose third-party data or enable abuse controls to be circumvented may be withheld.
The ability to request a review does not limit remedies available under the law. Any reward subject to a documented dispute may remain on hold for the time needed to resolve it.
16. Changes, suspension and termination
Nami may update these Terms and change the organization of Odyssey, the available activities and Wave conditions. Updates are published in the app or communicated through official channels; material changes require renewed acceptance where required by law.
New activity conditions apply after they have been communicated. Activities already validly completed and rewards whose allocation has been finalized remain subject to the conditions applicable at the relevant time, except for corrections arising from fraud, eligibility breaches, material errors or legal requirements.
If the program is suspended or terminated, Nami communicates how pending activities and any rewards will be handled, subject to participants' non-waivable rights.
17. Liability
Nami operates Odyssey with reasonable care. Access to the program may be interrupted, and information from external services may require correction.
You are responsible for safeguarding your credentials, securing your devices and the operations you authorize. To the extent permitted by law, Nami is not liable for losses caused solely by a participant's breach of these Terms, loss of their credentials or events outside Nami's reasonable control, except where Nami's own breach contributed to the loss.
To the extent permitted by law, liability for indirect or unforeseeable losses, including purely speculative lost profits, is excluded. These limitations do not exclude the obligation to distribute validly allocated rewards or liability for fraud, intentional misconduct, gross negligence or any other circumstances in which exclusion is prohibited by law.
Participants' applicable non-waivable rights remain unaffected.
18. Governing law, arbitration and final provisions
These Terms are governed by the laws of the British Virgin Islands (BVI), subject to any non-waivable rights and protections under applicable law.
Any dispute, controversy or claim arising from these Terms or from participation in Odyssey, including any matter relating to their interpretation, validity, breach, non-performance or termination, will be finally resolved by binding arbitration administered by the Cayman International Mediation and Arbitration Centre Ltd. Class arbitration, representative actions and the consolidation of claims by multiple persons in a single proceeding are not permitted.
If a provision is invalid or unenforceable, the remaining provisions are unaffected to the extent permitted by law. Failure to enforce a provision in a particular instance does not waive the right to enforce it later.
Participation in Odyssey does not create an employment, agency or representative relationship with Nami and does not authorize participants to make commitments on its behalf.
